Anytime you install any shingle over an existing shingle you lose 5 years or more on the usefull life of the top shingle. Ideally strip roof to the plywood sheathing & install an ice shield on lowest 4 feet and underlayment on the rest of the roof. In a tearoff ideally replace the valley and gutter apron. Do not let the roofer con you into believing that new apron over the old is as good as removing the gutters when you do the tearoff and having roofer install new apron then. Some guys will try to reinstall the gutter lower on the fascia as a way to avoid new gutters. Check the company's insurance policy to see that it covers Workman's Comp for Roofing. See my blogs for some advise on roofers, gutters, and gutter covers.

ps Is an ideal time to punch up your attic ventilation with Ridge Vent and new soffit vents to feed the passive venting of the ridge vent.
