Need help on making best decision on ac/heat pump unit

Been having trouble with ac/heat pump units. Not putting out heat or ac normally. One contractor replaced the thermostat , but worked about 2 days. Now it's making noise. We had another contractor come out and gave an estimate of $5,500 to refurbish our Payne heat pump, 2.5 ton, 10 seer up to a 13 seer and replace the outdoor ac unit with a new Payne unit (with extras - new fiber glass slab, flush refrigerant lines, rewrap wiring, 10 year warranty, etc.).

I'm concerned that all of this is not needed. I'm sure both units need to be thoroughly cleaned, serviced, etc. I just don't want to be taken advantage of. But if all above is needed, is $5,500 around the going cost?
