Depends on the vendor - a lot is guaranteed for 1 year from delivery date, but many require the bed be prepared and the sod be placed by them for any warranty to hold, and require certain watering and fertilizing schedule that you need to RELIGIOUSLY document if you expect warranty to hold - including getting a lawn moisture meter and recording the readings so you can prove you kept it properly watered.

Basically speaking, assuming you buy it locally grown (always the best plan), unless it is not nice and green and damp when it arrives or had the bulk of the root mass cut off by cutting too shallow, failure to grow is not the sod company's fault - it is due to improper bed preparation, improper watering, lack of recommended fertilization, or occasionally act of god (severe heat and drying wind in the couple of weeks right after installation, for instance), etc.

And remember - replacemetn warranty almost never includes removal of old and placing new - usually just delivery of replacement sod, unless specifically stated otherwise in contract.
